Item 5.05 Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics.

On December 3, 2012, the Board of Directors of Halozyme Therapeutics, Inc. (the "Company") approved amendments to the Company's Code of Conduct and Ethics (the "Code"), which applies to all of the Company's directors, officers, full and part time employees, temporary workers, contract workers and consultants. The amendments were made to reflect the Company's current status as a commercial pharmaceutical company and include the addition of provisions addressing compliance with applicable health care laws and interactions with health care professionals.
