Item 8.01. Other Events.

On December 4, 2012, the Board of Directors of Dorman Products, Inc. (the "Company") declared a special cash dividend of $1.50 per share for those shareholders of record on December 17, 2012 to be paid on December 28, 2012. A copy of the press release dated December 5, 2012 announcing the special dividend is attached as Exhibit 99.1 to this report.
