APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
As previously disclosed in the Form 8-K filed by Vera Bradley, Inc. (the
"Company") on October 4, 2012, the Company's Board of Directors (the "Board")
unanimously elected Karen Kaplan as a director. Ms. Kaplan was not appointed to
any committee of the Board at that time. On November 29, 2012, Ms. Kaplan was
appointed to serve on the Compensation Committee.
