Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 4, 2012, John E. McGlade, Chairman, President and Chief Executive Officer of Air Products and Chemicals, Inc., was elected, effective December 5, 2012, to the Board of Directors of The Goodyear Tire & Rubber Company to a term expiring at the 2013 Annual Meeting of Shareholders. Mr. McGlade will join the Governance Committee and the Committee on Corporate Responsibility and Compliance of the Board of Directors. Mr. McGlade will receive the compensation established from time-to-time for non-employee directors.
