Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On December 4, 2012, Mr. Robert J. Krist, Chief Financial Officer of Endologix, Inc. (the "Company"), notified the Board of Directors of the Company that he will retire from the Company effective upon completion of the transition of his duties and responsibilities to his successor as Chief Financial Officer. It is currently the intent of Mr. Krist and the Company that Mr. Krist will continue in his present position to assist in making a smooth transition to his successor. Mr. Krist will also be available in the future on a consulting basis as needed. The Board of Directors has commenced a search for a new Chief Financial Officer to replace Mr. Krist.
