Item 8.01 Other Events.

On November 30, 2012, the United States Department of Justice granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, relating to the proposed acquisition by WellPoint, Inc. of AMERIGROUP Corporation ("Amerigroup"), which was previously announced. Amerigroup also issued a press release on November 30, 2012 announcing that it had completed the sale of its Virginia health plan to Inova Health System Foundation. The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein in its entirety by reference.
