Item 1.01 Entry into a Material Definitive Agreement
On November 26, 2012, revisions to the Supplemental Employee Retirement Plan
(SERP) of Kimball International, Inc. (the "Company") were approved for the plan
year beginning July 1, 2013. The eligible SERP participant definition was
expanded to include members of the Company's Corporate Liaison Committee. In
addition, the SERP deferral election was revised such that a participant may
elect to defer up to 50% of the cash compensation otherwise payable to him or
her. This summary is not intended to be complete and is qualified in its
entirety by reference to the SERP in Exhibit 10.1 of this 8-K and incorporated
herein by reference.
