Item 8.01. Other Events.

On November 26, 2012, CVS Caremark Corporation, a Delaware corporation (the "Company"), issued a press release announcing the commencement of a tender offer for any and all of its 6.60% Senior Notes due 2019, and up to a maximum amount of its 6.125% Senior Notes due 2016 and 5.750% Senior Notes due 2017, for up to an aggregate principal amount of $1 billion. A copy of the press release is attached hereto as Exhibit 99.1.
