Item 8.01. Other Events.

On November 21, 2012, Encore Capital Group, Inc. (the "Company") issued a press release announcing the pricing of $100,000,000 aggregate principal amount of 3.00% convertible senior notes due 2017 in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
