Entry into Separation Agreement

On November 19, 2012, Atmel Corporation (the "Company") and Walt Lifsey, the Company's former Chief Operating Officer, entered into a separation agreement in connection with Mr. Lifsey's retirement (the "Separation Agreement"). The Separation Agreement is filed as Exhibit 10.1 hereto and is incorporated by reference herein.
