Officers.
On November 14, 2012, Timothy M. Donahue, the lead director of the Company's
Board of Directors, notified the Board of his decision not to stand for
re-election at the Company's 2013 annual general meeting of shareholders. This
decision is not the result of any disagreement between Mr. Donahue and the
Company or its management. The Company and the Board expressed their
appreciation for Mr. Donahue's service to the Board and the Company.
