(b) On November 16, 2012, Chris A. Raanes resigned from his position as
Executive Vice President and Chief Operating Officer of Accuray Incorporated
(the "Company") to pursue other interests. Mr. Raanes will receive severance
benefits in accordance with the terms of his employment agreement with the
Company, a copy of which is on file with the Commission.
