Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On November 9, 2012, Richard J. Ranieri, Executive Vice President, Human Resources, notified Dendreon Corporation (the "Company") that he would be leaving the Company effective as of February 15, 2013. In connection with his departure, the Company will provide severance benefits to Mr. Ranieri pursuant to his employment agreement.
