On November 14, 2012, Safeguard Scientifics, Inc. (the "Company") issued a press release announcing it priced an offering of $50,500,000 aggregate principal amount of its convertible senior debentures due 2018 in a private placement (the "Offering"). The Company intends to use the proceeds from the Offering to repurchase outstanding 10.125% convertible senior debentures due 2014 and for general corporate purposes. The Company hereby furnishes the information set forth in the press release issued on November 14, 2012, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
