Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 1, 2012 the Company filed a current report on Form 8-K disclosing,
among other things, the appointment of John E. Sztykiel to the Company's Board
of Directors.
On November 7, 2012, the Company's Board of Directors appointed Mr. Sztykiel to
serve as Chairman of its Governance and Nominating Committee and as a Member of
the Audit Committee.
Mr. Sztykiel will receive an additional annual cash retainer of $5,000 for his
service as Chairman of the Governance and Nominating Committee.
