Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November 8, 2012, the Board of Directors of Polycom, Inc. (the "Company") approved amendments to Sections 6.1 and 6.4 of the Bylaws of the Company to clarify the scope of the Company's indemnification provisions. A copy of the Amended and Restated Bylaws of Polycom, Inc. is filed with this Current Report on Form 8-K as Exhibit 3.1 and is incorporated herein by reference.
