Item 1.01 Entry into a Material Definitive Agreement.
The Company has entered into new Equipment Purchase Agreements with Sercel, Inc.
and Sercel S.A. relating to the Unite cable-free recording system and the DSU3
three-component digital recording system. Under the terms of the agreements the
Company is the exclusive authorized third party lessor for the DSU3 product
through December 31, 2013 and for the Unite product through September 30, 2014.
The Company has agreed to purchase certain quantities of each of the products
during the term of the agreements.
