Item 5.02 Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On November 8, 2012, Amy L. Tait tendered her resignation as a Director of
Home Properties, Inc. due to the potential for a perceived conflict of interest
arising from the recent formation of Broadtree Homes, LLC, an affiliate of
Broadstone Real Estate, LLC, of which Mrs. Tait is Chairman and Chief Executive
Officer. Mrs. Tait's resignation was accepted.
The Company has no immediate plans to fill the Board seat vacated by Mrs.
Tait's resignation.
