Item 8.01 Other Events.
On November 12, 2012, the Board of Directors of Epoch Holding Corporation (the
"Company") declared a special cash dividend of $0.75 per share on the Company's
common stock. The dividend is payable on December 14, 2012 to all stockholders
of record at the close of business on November 30, 2012. The aggregate dividend
payment will total approximately $17.8 million based on the number of shares of
common stock currently outstanding.
A copy of the press release issued by the Company is attached as Exhibit 99.1.
