Item 8.01 Other Events.

On November 9, 2012, Legacy Reserves LP and its wholly owned subsidiary Legacy Reserves Finance Corporation issued a press release announcing their intention to offer, subject to market and other conditions, $300 million in aggregate principal amount of senior unsecured notes due 2020. The notes will be sold in a private placement to eligible purchasers.

A copy of the press release is filed herewith as Exhibit 99.1, which is incorporated by reference to this Item 8.01.
