Item 2.02. Results of Operations and Financial Condition.

On November 8, 2012, Geokinetics Inc. (the "Company") issued a press release announcing its third quarter 2012 financial results. A copy of the press release is attached as Exhibit 99.1, the contents of which are furnished in their entirety.
