(b) On November 6, 2012, Ken Joyce notified the Company's Board of Directors of his intention to retire as President and Chief Executive Officer and Director of the Company by the end of 2013. The effective date of his retirement has not yet been determined and, as of this time, no agreement has been entered into with Mr. Joyce relating to his retirement. An executive recruiting firm has been retained to conduct an outside search for his replacement and also to assist with the assessment of internal candidates. A copy of the Company's November 6, 2012 press release announcing Mr. Joyce's intention to retire is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
