(b) Effective November 1, 2012, Senator William W. Bradley resigned as a
director of Willis Group Holdings Public Limited Company (the "Company"), where
he served as the Presiding Independent Director of the Company's Board of
Directors. Senator Bradley's resignation from the Company's Board of Directors
did not involve any disagreement on any matter relating to the Company's
operations, policies or practices.
James F. McCann has been appointed Presiding Independent Director and chair of
the Corporate Governance and Nominating Committee.
