ITEM 8.01 - OTHER EVENTS
On November 6, 2012, Cincinnati Bell Inc. issued a press release announcing the
pricing of the previously announced private offering of $525 million aggregate
principal amount of 6.375% Senior Notes due 2022 (the "Notes") by its
wholly-owned subsidiaries CyrusOne LP and CyrusOne Finance Corp., at 100% of
their face value. The Notes will be guaranteed by CyrusOne Inc. and certain of
its subsidiaries. A copy of the press release is attached hereto as Exhibit
99.1.
