Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 1, 2012, Mr. Joseph Damasio informed the Company that he would be
resigning from his position of Vice President of Finance and Administration, to
pursue other opportunities, effective November 16, 2012. After November 16,
2012, Mr. Damasio will provide transition services to the Company to the extent
that they do not interfere with his then-current employment.
