On November 2, 2012, MarketAxess Holdings Inc. (the "Company") issued a press release announcing the Company's financial results for its fiscal third quarter ended September 30, 2012. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On November 2, 2012, the Company issued a press release announcing that its Board of Directors has approved a regular quarterly dividend to be paid to the holders of the outstanding shares of capital stock. A cash dividend of $0.11 per share of common stock outstanding will be paid on November 26, 2012 to stockholders of record as of the close of business on November 12, 2012.
