Compensatory Arrangements of Certain Officers.
As part of our ongoing realignment plan to reduce our overall expenses, we have
entered into a consulting agreement with Lazarus Rothstein, Esq. to continue to
provide us with on-going legal services related to our U.S. and foreign
operations. In conjunction with these efforts, Mr. Rothstein resigned his
position as our General Counsel and Executive Vice President effective as of
October 31, 2012.
