(d) As previously reported, on October 19, 2012, Lori A. Beer was elected to the board of directors of Vantiv, Inc. At the time of the filing of the original report, the board had not yet determined Ms. Beer's committee assignments. This amendment is being filed to report that on October 30, 2012, the board appointed Ms. Beer to its Audit Committee and Nominating & Corporate Governance Committee.
