Item 1.02 Termination of a Material Definitive Agreement.

On October 31, 2012, Vocus, Inc. (the "Company") announced that the employment of Mr. William R. Wagner, its Executive Vice President and Chief Operating Officer, will cease on November 2, 2012. Mr. Wagner's employment agreement dated July 17, 2006 will terminate as of November 2, 2012.

To the extent required by Item 1.02 of Form 8-K, the information contained or incorporated by reference in Item 5.02 of this Current Report on Form 8-K regarding Mr. Wagner is incorporated by reference in this Item 1.02.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective November 2, 2012, William R. Wagner will cease to serve as the Company's Executive Vice President and Chief Operating Officer. After such date, Mr. Wagner's direct reports will report to the Company's Chief Executive Officer.

The Company noted that it appreciates all that Mr. Wagner has done for the Company and it wishes him all the best.
