Item 8.01 Other Events.

On October 29, 2012, PetMed Express, Inc. issued a press release announcing that its Board of Directors declared a quarterly dividend of $0.15 per share on its common stock. The dividend will be payable on November 23, 2012, to shareholders of record at the close of business on November 9, 2012. The Company intends to continue to pay regular quarterly dividends; however the declaration and payment of future dividends is discretionary and will be subject to a determination by the Board of Directors each quarter following its review of the Company's financial performance. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
