On October 31, 2012, Middleburg Financial Corporation (the "Company") issued a press release reporting its financial results for the period ended September 30, 2012. A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated by reference into this Item 2.02.



Item 8.01. Other Events.

On October 31, 2012, the Company announced the declaration of a cash dividend of $0.05 per share to shareholders of record on November 9, 2012, payable on November 23, 2012.
