Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 23, 2012, Kevin V. Mahoney resigned from his position as Senior Vice
President, Corporate Controller (Principal Accounting Officer), effective
November 9, 2012, to pursue other opportunities. The duties of the Principal
Accounting Officer will be performed on an interim basis by Stephen C. Forsyth,
Executive Vice President and Chief Financial Officer, until the Company appoints
a new Principal Accounting Officer.
