Item 8.01 Other Events.
On October 26, 2012, the Board of Directors of HQ Global Education Inc. (the
"Company") approved that it is in the best interest of the Company to file with
the Securities and Exchange Commission ("SEC") a certification on Form 15 on or
about October 26, 2012, requesting that the common shares of the Company be
deregistered and that the Company's reporting obligations under Sections 13 and
15(d) of the Securities Exchange Act of 1934, as amended, be suspended. The
Company is eligible to deregister its common shares because it had fewer than
300 holders of record of its common shares at the beginning of its fiscal year.
Upon the filing of the Form 15, the Company's obligation to file certain reports
with the SEC, including Forms 10-K, 10-Q and 8-K, will immediately be suspended.
The Company expects that the deregistration of its common shares will become
effective 90 days after the date of the filing of the Form 15 with the SEC.
