Item 8.01 Other Events.

On October 26, 2012, the Company's Board of Directors also approved a stock repurchase program ("Repurchase Program") under which the Company may purchase up to 725,000 shares, or 5%, of its outstanding common stock. In connection with the Repurchase Program, the Company entered into a 10b5-1 repurchase plan ("10b5-1 Plan") with Keefe, Bruyette & Woods, Inc. for the repurchase of the shares beginning October 31, 2012 until the 10b5-1 Plan expires on September 30, 2013, or when the authorized shares have been purchased, whichever is earlier.
