On October 25, 2012, Phillip Spencer informed LodgeNet Interactive Corporation
(the "Company") of his decision to resign from the Board of Directors of the
Company, effective on October 25, 2012. Mr. Spencer's decision to resign was
not due to any disagreement with the Company on any matter relating to the
Company's operations, policies or practices.
