ITEM 2.02 Results of Operations and Financial Condition.

On October 25, 2012, KKR Financial Holdings LLC (the "Company") issued an earnings release announcing its financial results for the third quarter ended September 30, 2012. A copy of the earnings release is attached as Exhibit 99.1.

The information contained in this Item 2.02 and the attached press release is "furnished" but not "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.



ITEM 8.01 Other Events.

On October 25, 2012, the Company's board of directors declared a cash distribution of $0.21 per common share. The distribution is payable on November 21, 2012 to common shareholders of record as of the close of business on November 7, 2012.
