Item 8.01. Other Events.

On October 24, 2012, the Board of Directors of the Company declared a cash dividend on the Company's common stock of $0.06 per share for the quarter ended September 30, 2012. The dividend will be payable to stockholders of record as of November 9, 2012 and is expected to be paid on November 16, 2012.

A copy of the press release dated October 24, 2012, giving details associated with the dividend, is attached as Exhibit 99 to this report.
