Item 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On October 24, 2012, First Commonwealth Financial Corporation ("the Company") issued a press release announcing financial results for the three and nine month periods ended September 30, 2012. A copy of this press release and the related earnings tables are furnished as Exhibit 99.1 to this report and incorporated herein by reference.



Item 7.01 REGULATION FD DISCLOSURE

On October 24, 2012, the Company declared a cash dividend of $0.05 per share of the Company's common stock. The dividend declaration is included in the press release announcing financial results for the three and nine month periods ended September 30, 2012.
