On October 24, 2012, we issued a press release announcing that our Board of
Directors declared a reduced quarterly cash dividend on both classes of common
stock of $.02 per share. The dividend is payable on December 10, 2012 to
shareholders of record at the close of business on November 10, 2012. A copy of
our press release is attached hereto as Exhibit 99.1 and hereby incorporated by
reference.
