Item 5.02 Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Today we issued a press release announcing David L. Hatcher's intention to retire as a Director of KMG Chemicals, Inc., in December 2012 at the conclusion of his current term, and that therefore he will not stand for nomination as a Director at the upcoming Annual Meeting of Shareholders. He will devote more time to his family and outside interests. After the Annual Meeting of Shareholders in December 2012 at which Directors will be elected, the Board anticipates that Mr. Christopher T. Fraser, a Director since 2008, will succeed Mr. Hatcher as Chairman. The press release is attached to this report.
