(e) At a meeting held on October 11, 2012, the Compensation Committee of the Board of Directors of ICU Medical, Inc. (the "Company") approved the increases in the annual base salaries for the fiscal year 2013 for the Company's executive officers, beginning January 1, 2013. The approved increases in the annual base salaries are as follows:
