Item 7.01: Regulation FD Disclosure.

SJW Land Company, the registrant's wholly owned subsidiary, entered into a lease agreement dated October 16,
2012 for the remainder of its distribution facility located in Knoxville, Tennessee (for approximately 326,000
rentable square feet). The lease commences on or about November 1, 2012 and is a modified net lease with an
initial five-year and four-month term and two three-year options.
