Item 1.01 - Entry into a Material Definitive Agreement

On October 12, 2012 and October 15, 2012, in connection with its supply of MelaFind ® units, MELA Sciences, Inc. (the "Company") issued a purchase order for approximately $2.8 million pursuant to its Production Agreement dated January 6, 2012 with Askion GmbH and a purchase order for approximately $1.1 million pursuant to its Production Agreement dated January 6, 2012 with Nexcore Technology, Inc., respectively.
