Item 1.01 Entry into a Material Definitive Agreement.

On October 11, 2012, EnviroStar, Inc. (the "Company") entered into a First Amendment to Credit Agreement (the "First Amendment") with Wells Fargo Bank, National Association ("Wells Fargo"), to amend that certain Credit Agreement, dated as of November 16, 2012 (the "Credit Agreement"), between the Company and Wells Fargo. Pursuant to the First Amendment, the maturity date for advances under the Credit Agreement has been extended from October 31, 2012 to November 1, 2013.
