Item 8.01 Other Events.
On October 4, 2012, NexMed (U.S.A.), Inc., a wholly-owned subsidiary of Apricus
Biosciences, Inc. (the "Company"), entered into an additional new work order
(the "Work Order") pursuant to its Vitaros® Cream Clinical Supply Agreement,
effective as of January 30, 2012 (the "Supply Agreement") with Warner Chilcott
UK Limited (together with its affiliates "WC").
Under the Work Order, the Company will receive approximately $682,000 payment
for stability testing of its Vitaros® product, in addition to the approximately
$450,000 amount to be received by the Company under the Supply Agreement and a
prior work order.
