Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective October 1, 2012, Joel F. Bonder, the Executive Vice President and
General Counsel of First Potomac Realty Trust (the "Company"), ceased to perform
the responsibilities and functions of the Company's general counsel. In light of
the foregoing, the Company's Vice President, Legal, with the assistance of the
Company's outside legal counsel, has assumed the responsibilities and functions
previously performed by Mr. Bonder.
