ITEM 5.05 AMENDMENT TO THE REGISTRANT'S CODE OF ETHICS; OR WAIVER OF A PROVISION
OF THE CODE OF ETHICS
(a) On September 26, 2012, the Boards of Directors of WGL Holdings, Inc. and
Washington Gas Light Company amended their Code of Conduct. The Code of Conduct
was amended to add certain anti-hedging provisions. The anti-hedging provisions
apply to all employees, executive officers and directors of WGL Holdings, Inc.
and its subsidiaries, including Washington Gas Light Company. The revisions are
effective November 1, 2012.
A copy of the Code of Conduct is filed as an Exhibit to this Form 8-K.
