Item 1.01 Entry into a Material Definitive Agreement.
On September 27, 2012, NexMed (U.S.A.), Inc., a wholly-owned subsidiary of
Apricus Biosciences, Inc. (the "Company"), entered into a new work order (the
"Work Order") pursuant to its Vitaros® Cream Clinical Supply Agreement,
effective as of January 30, 2012 (the "Supply Agreement") with Warner Chilcott
UK Limited (together with its affiliates "WC").
Under the Work Order, the Company will receive approximately $200,000 payment
for additional quantities of the Vitaros® product, in addition to the
approximately $250,000 amount to be received by the Company under the Supply
Agreement.
