On September 28, 2012, Valley Financial Corporation (the "Company") issued a press release announcing the declaration of a quarterly common stock dividend. The quarterly common stock dividend is payable on November 1, 2012 to common shareholders of record on October 15, 2012. A copy of the Company's press release is attached as Exhibit 99.1 hereto and is hereby incorporated herein by reference.
