Item 8.01 Other Events.

On September 28, 2012, the Brazilian Superior Court of Justice partially suspended the preliminary injunction order that had been served upon a subsidiary of Transocean Ltd. (the "Company") on September 27, 2012 by the federal court in Rio de Janeiro. As originally issued, the preliminary injunction would have required the Company to cease conducting extraction or transportation activities in Brazil effective 30 calendar days after the date of service on the Company. As a result of this decision, the preliminary injunction will only apply to the Company's operations in the Campo de Frade field and the Company may continue to operate in all other offshore oil and gas fields in Brazil.
